These Terms of Service (the "Terms") form a legally binding agreement between you and On International Holdings Limited, trading as Vertrac ("Vertrac," "we," "us," or "our"), concerning your access to and use of Vertrac's websites, mobile applications, platform, and related services (collectively, the "Services").
Please read these Terms carefully. By creating an account, clicking to accept these Terms, or accessing or using the Services, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Services.
If you use the Services for a company or other organization, you represent that you have authority to bind it to these Terms. In that case, "you" includes both you and that organization.
1. About Vertrac
Vertrac is a platform through which outdoor professionals, outdoor businesses, and outdoor enthusiasts can create professional profiles, record experience and skills, upload certifications, connect and communicate, record trips, access subscription features, and participate in marketplace activities.
Unless we expressly agree otherwise in writing, Vertrac provides the technology platform only. Vertrac is not an employer, employment agency, guide, outfitter, tour operator, certification authority, insurer, professional adviser, medical provider, rescue provider, or emergency service. Vertrac is not a party to arrangements made directly between users merely because they met or communicated through the Services.
2. Eligibility
You must be at least 18 years old and legally capable of entering into a binding agreement to use the Services. By using the Services, you represent that you meet these requirements.
You may not use the Services if applicable law prohibits you from doing so, if we previously terminated your account for serious misconduct, or if you are subject to sanctions or restrictions that would make the relationship unlawful.
3. Accounts
You must provide accurate, current, and complete information and keep it updated. You may maintain only accounts you are authorized to control. You are responsible for:
- protecting your login credentials;
- activity conducted through your account, except to the extent caused by our breach of duty;
- promptly notifying us of suspected unauthorized access;
- maintaining current contact and payment information; and
- ensuring that anyone using a company account has appropriate authority.
We may require reasonable information to verify an account, organization, or transaction. Verification of one fact does not amount to endorsement or verification of other profile information.
4. Professional Profiles, Certifications, and User Representations
You may submit work history, qualifications, certifications, licences, experience, references, and other professional information. You represent and warrant that information and documents you submit are authentic, accurate, not misleading, lawfully obtained, and kept current.
Unless a feature expressly states that a particular check has been completed by Vertrac, Vertrac merely hosts this information and does not independently verify, certify, approve, or endorse it. A "verified" label, if introduced, will mean only that the specifically described verification step was completed; it will not guarantee competence, character, identity, current standing, legal eligibility, safety, or performance.
Users and businesses are responsible for conducting their own checks before hiring, engaging, recommending, relying upon, or transacting with another user. These checks may include identity, references, current certification status, insurance, permits, background, legal eligibility, experience, and suitability for the relevant activity.
5. Marketplace and User-to-User Dealings
The Services may allow users and businesses to post opportunities, offer services, make bookings, or enter other transactions. Unless expressly stated otherwise:
- users contract directly with one another;
- each party is responsible for evaluating the other party and the proposed activity;
- each party is responsible for the accuracy and legality of its listings and communications;
- each party is responsible for taxes, permits, insurance, employment classification, consumer obligations, and other legal requirements applicable to it; and
- Vertrac does not guarantee a listing, opportunity, booking, payment, user, qualification, outcome, or performance.
We may establish additional marketplace, payment, fee, cancellation, or dispute rules before enabling paid marketplace transactions. Those rules will be shown or linked at the relevant point and will form part of these Terms once accepted or used.
We may help users communicate about a dispute but are not obliged to resolve disputes between them. Nothing in these Terms prevents us from investigating reports or restricting accounts to protect users or the Services.
6. Outdoor Activities and Assumption of Risk
Outdoor and guiding activities may involve inherent and unexpected risks, including severe weather, difficult terrain, equipment failure, navigation errors, illness, bodily injury, property damage, permanent disability, and death.
To the fullest extent permitted by law, you are responsible for assessing and accepting the risks of activities in which you participate. You are responsible for your judgment, training, fitness, preparation, equipment, route, conditions, permits, insurance, emergency plan, and compliance with law. You must not treat a profile, certification, review, route, map, message, or other information on Vertrac as a substitute for your own assessment.
7. GPS and Trip Tracking
GPS and trip features are record-keeping tools only. They are not emergency, rescue, dispatch, medical, weather, safety-monitoring, or guaranteed navigation services. Routes, locations, distances, speeds, altitude, alerts, and other information may be delayed, inaccurate, incomplete, or unavailable because of terrain, signal, device settings, battery, network, software, or other conditions.
You must not rely on Vertrac as your sole means of navigation, communication, or emergency assistance. Use appropriate maps, equipment, procedures, and emergency resources for the activity. In an emergency, contact the relevant local emergency service by a reliable method.
You may only track a device you own or are authorized to use. You must not use the Services to monitor, stalk, locate, or expose another person without a lawful basis and all consent required by law.
8. User Content
"User Content" means profiles, certifications, photographs, videos, recordings, messages, files, posts, listings, reviews, trip records, feedback, and other material submitted through the Services.
You retain ownership of your User Content. You grant Vertrac a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, process, adapt for technical formatting, transmit, and display User Content only as reasonably necessary to operate, provide, secure, moderate, improve, and support the Services and as otherwise directed by you through the Services.
For User Content you intentionally make public, the licence also permits us to display and distribute it through public-facing parts of the Services and to identify you as its source. This licence continues for as long as the content is stored through the Services and for a reasonable period in backups, legal records, or copies previously shared at your direction. It does not give us ownership of your content.
You represent that you own or have all rights and permissions necessary to submit User Content and grant this licence, and that the content does not violate law, privacy, confidentiality, intellectual property, contractual rights, or these Terms.
9. Acceptable Use
You must not use the Services to:
- submit false, forged, altered, expired, stolen, or misleading qualifications, certifications, identities, references, reviews, listings, or experience;
- impersonate another person or misrepresent an affiliation;
- harass, threaten, discriminate against, exploit, stalk, or endanger anyone;
- offer, arrange, promote, or conduct unlawful or knowingly unsafe activities;
- exploit or endanger a minor;
- disclose another person's private, confidential, or precise location information without authority;
- infringe intellectual property, privacy, publicity, confidentiality, or other rights;
- send spam, scams, deceptive promotions, malware, or unsolicited bulk communications;
- scrape, harvest, copy, or use data from the Services except as expressly permitted;
- sell or transfer account access;
- bypass fees, access controls, rate limits, or security measures;
- probe or test vulnerabilities without our written permission;
- interfere with the operation or integrity of the Services;
- reverse engineer the Services except where applicable law expressly permits it; or
- assist another person in doing any of the above.
10. Moderation and Reports
We may, but are not required to, review, investigate, restrict, remove, or preserve content or accounts when we reasonably believe it is necessary to operate the Services, enforce these Terms, respond to a report, protect safety or rights, or comply with law.
Our failure to remove content does not mean we endorse it. Automated and human moderation can make mistakes. Where appropriate, you may contact us to request review of an enforcement decision.
11. Subscriptions, Charges, and Taxes
Vertrac may offer free and paid features. Before charging you, we will display the applicable price, currency, billing interval, included features, taxes where known, trial terms, automatic-renewal terms, and method of cancellation.
If you purchase an automatically renewing subscription, you authorize recurring charges at the disclosed interval until you cancel. You may cancel through the method identified at purchase or through available account settings. Unless otherwise stated, cancellation takes effect at the end of the current paid billing period, and access to paid features continues until then.
Except where required by applicable law or expressly stated at purchase, payments are non-refundable and we do not provide refunds or credits for partial billing periods, unused features, account inactivity, or a decision to stop using the Services.
We may change prices prospectively by providing the notice required by law. A price change will not apply retroactively to a completed billing period. If you do not accept a change, you may cancel before it takes effect.
You are responsible for applicable taxes except taxes based on our net income. If a third-party application store or payment provider processes the purchase, its payment and refund rules may also apply. We may suspend paid access after a failed or reversed payment, subject to applicable law.
Launch note: Subscription prices, billing intervals, payment provider, and any marketplace fees must be displayed in the product before paid features are offered.
12. Third-Party Services
The Services may use or link to third-party services, including mapping, authentication, communications, payment, and cloud services. Their terms and privacy policies may apply to your use of them. We do not control and are not responsible for third-party products or services, except to the extent responsibility cannot legally be excluded.
13. Vertrac Intellectual Property
The Services, including our software, designs, branding, interfaces, documentation, and content other than User Content, are owned by or licensed to Vertrac and are protected by intellectual-property laws.
Subject to these Terms, we grant you a limited, personal, non-exclusive, non-transferable, revocable right to access and use the Services for their intended purpose. No other rights are granted. "Vertrac" and associated branding may not be used without our prior written permission.
If you provide suggestions or feedback, you permit us to use them without restriction or compensation, provided we do not publicly identify you as the source without permission.
14. Intellectual-Property Complaints
If you believe content on the Services infringes your rights, contact admin@vertrac.com with your contact information, identification of the protected work, identification and location of the allegedly infringing material, the basis of your claim, and a statement that the information supplied is accurate and submitted in good faith.
We may remove or restrict content and may terminate repeat infringers where appropriate. We may forward a complaint to the affected user as permitted by law.
15. Privacy
Our Privacy Policy explains how we handle personal information. By using the Services, you acknowledge that policy. You must comply with applicable privacy and data-protection laws when receiving or using information about another person through Vertrac.
16. Suspension and Termination
You may stop using the Services or request account deletion at any time. Subscription cancellation and account deletion are separate actions unless the product expressly states otherwise.
We may restrict, suspend, or terminate access if we reasonably believe you violated these Terms, created risk or legal exposure, failed to pay applicable charges, engaged in fraud or unsafe conduct, or if action is necessary to protect users, third parties, or the Services. We may act immediately where circumstances reasonably require it. Otherwise, we will aim to provide notice and an opportunity to respond where appropriate.
After termination, your right to use the Services ends. Provisions that by their nature should survive will survive, including those concerning ownership, licences already necessary for retained copies, payments, disclaimers, liability, indemnity, disputes, and general legal terms.
17. Changes to or Discontinuation of the Services
We may add, modify, suspend, or discontinue features. We will provide reasonable notice of material changes where practicable and any notice or remedy required by law. The Services may occasionally be unavailable because of maintenance, faults, third-party systems, emergencies, or events outside our reasonable control.
18. Disclaimers
To the fullest extent permitted by law, the Services are provided "as is" and "as available." Vertrac disclaims implied warranties and conditions, including merchantability, satisfactory quality, fitness for a particular purpose, title, non-infringement, accuracy, availability, and results.
We do not warrant that the Services will be uninterrupted, secure, error-free, accurate, complete, or suitable for a particular outdoor activity or professional decision. We do not guarantee users, identities, certifications, jobs, companies, listings, transactions, GPS records, routes, content, communications, safety, or outcomes.
Nothing in these Terms excludes a warranty, condition, right, or remedy that cannot lawfully be excluded.
19. Limitation of Liability
Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited, including liability for fraud or fraudulent misrepresentation and any other liability that applicable law requires to remain unrestricted.
To the fullest extent permitted by law, Vertrac and its directors, officers, employees, affiliates, and service providers will not be liable for indirect, incidental, special, exemplary, punitive, or consequential loss, or for loss of profits, revenue, business, opportunity, goodwill, data, or anticipated savings, arising from or related to the Services, even if advised that such loss was possible.
To the fullest extent permitted by law, our aggregate liability arising from or relating to the Services and these Terms will not exceed the greater of:
- the amount you paid to Vertrac for the Services during the 12 months immediately before the event giving rise to the claim; or
- HKD 800.
These limitations apply regardless of the form of action and only to the extent permitted by applicable law. Mandatory consumer rights remain unaffected.
20. Indemnity
To the fullest extent permitted by law, if you use the Services on behalf of a business or for commercial or professional purposes, you will indemnify and hold harmless Vertrac and its directors, officers, employees, and affiliates from third-party claims, losses, liabilities, and reasonable costs arising from your unlawful conduct, your User Content, your breach of these Terms, or your infringement of another person's rights.
This section does not require an individual consumer to indemnify us to the extent prohibited by applicable consumer law and does not cover loss caused by Vertrac's own breach of duty.
21. Governing Law and Disputes
Before starting formal proceedings, you and Vertrac agree to make a good-faith effort to resolve the dispute by written notice. Send notices to admin@vertrac.com and describe the issue and requested resolution. Either party may seek urgent interim relief without completing this informal process.
These Terms and non-contractual disputes relating to them are governed by the laws of the Hong Kong Special Administrative Region, without regard to conflict-of-law principles. Subject to any mandatory rights you have under the law where you live, the courts of Hong Kong will have exclusive jurisdiction.
Nothing in this section deprives a consumer of protections or access to a court that cannot lawfully be waived. These Terms do not require arbitration and do not include a class-action waiver.
22. Changes to These Terms
We may update these Terms to reflect changes to the Services, business, providers, or law. We will post the revised Terms and update the "Last updated" date. We will provide additional notice of material changes and request acceptance where required. Continued use after the effective date of revised Terms constitutes acceptance only to the extent permitted by law.
These Terms remain effective until replaced and do not automatically expire at the end of a calendar year.
23. General Terms
These Terms, the Privacy Policy, and any additional terms presented for a particular feature constitute the agreement between you and Vertrac concerning the Services. If feature-specific terms conflict with these Terms, the feature-specific terms control for that feature.
If a provision is found unenforceable, it will be enforced to the maximum lawful extent and the remaining provisions will remain effective. A failure to enforce a provision is not a waiver. You may not assign these Terms without our written consent. We may assign them in connection with a corporate reorganization, merger, acquisition, financing, or sale of all or part of our business, subject to applicable law.
Nothing in these Terms creates an employment, agency, partnership, joint venture, fiduciary, or franchise relationship between you and Vertrac. Headings are for convenience only. Electronic communications and acceptances may satisfy legal writing and signature requirements where permitted.
